General Terms and Conditions of Sale and Delivery of revoseal Europe GmbH
October 2026
§ 1 Scope of Application
- These General Terms and Conditions of Sale and Delivery (Terms) apply to all deliveries and services provided by revoseal Europe GmbH, Pulheim (hereinafter “revoseal”), in particular gaskets (e.g. revoseal JP/JG, KJ, Vario, SWG) and services such as consulting, flange calculations, installation support and training.
- These Terms apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law (hereinafter “Customer”).
- These Terms apply exclusively. Any deviating, conflicting or supplementary terms of the Customer shall become part of the contract only if revoseal expressly agrees to their application in writing. This also applies if revoseal delivers without reservation despite being aware of such terms.
- These Terms, as amended from time to time, also apply to all future transactions with the Customer without revoseal having to refer to them again.
- Individual agreements in a particular case take precedence over these Terms. Their content shall be governed by the written contract or revoseal’s written confirmation.
- In cases of doubt, trade terms shall be interpreted in accordance with Incoterms® 2020 of the International Chamber of Commerce.
§ 2 Offers, Conclusion of Contract, Documents
- Offers by revoseal are subject to change and non-binding unless expressly designated as binding or specifying an acceptance period.
- The Customer’s order constitutes a binding offer to enter into a contract. revoseal may accept it within 7 days of receipt. The contract is concluded by written order confirmation (including by email) or by dispatch of the goods.
- Information in catalogues, data sheets, on the website and in presentations (e.g. materials, dimensions, temperature and pressure ranges) constitutes indicative values. Such information is binding only if expressly agreed as a product characteristic in the contract. Binding operating limits follow from the expressly agreed specifications; statutory duties of information and liability remain unaffected.
- revoseal retains ownership and copyright in drawings, calculations, cost estimates and other documents. These may be disclosed to third parties only with revoseal’s written consent.
- Technically necessary changes to the design are reserved insofar as they do not impair the contractually intended use and are reasonable for the Customer.
§ 3 Prices and Payment Terms
- Prices are quoted in euros ex works Pulheim (EXW, Incoterms® 2020), plus packaging, freight, insurance and applicable statutory VAT.
- For orders with a net goods value below EUR 150, revoseal may charge a small-order surcharge of EUR 50. Express production is subject to a separately agreed surcharge.
- If more than 4 months elapse between conclusion of the contract and delivery and material costs, particularly metal and graphite prices, energy or labour costs change materially during that period, revoseal may adjust prices accordingly. revoseal shall provide evidence of the cost change upon request.
- Invoices are payable without deduction within 30 days of the invoice date. Cash discounts are permitted only if expressly agreed individually. Receipt of payment by revoseal is decisive.
- If the Customer deducts a cash discount without agreement or after expiry of the discount period, the payment shall be treated as a partial payment. The balance remains due.
- Upon expiry of the payment period, the Customer shall be in default. Statutory default interest (Section 288(2) BGB) and the statutory default lump sum (Section 288(5) BGB) apply.
- If the Customer defaults on payment, all other receivables arising from the business relationship become immediately due. revoseal may withhold further deliveries until overdue amounts have been paid.
- revoseal may require advance payment or a deposit from new customers, for custom-made products or where there are justified doubts about solvency. If such doubts become known after conclusion of the contract, revoseal may perform outstanding deliveries only against advance payment or security.
- The Customer may set off claims only if they are undisputed or have been finally adjudicated. A right of retention exists only insofar as the counterclaim arises from the same contractual relationship.
- Employees of revoseal are authorised to accept payments only if they present written authority to collect payments.
§ 4 Delivery, Delivery Periods, Delay
- Delivery dates and periods are binding only if expressly agreed as binding. They do not begin until all technical questions have been resolved, the Customer has supplied all necessary information (e.g. flange standard, nominal diameter, pressure rating, medium and temperature), and any agreed deposit has been paid.
- Unless a fixed date has expressly been agreed as an essential deadline, delay and rescission are governed by statutory requirements. Where required by law, the Customer shall grant revoseal a reasonable additional period, normally two weeks unless the circumstances justify a shorter or longer period.
- For express production, the date stated in the order confirmation applies, provided the Customer’s information is complete and the required material is available.
- Partial deliveries are permitted insofar as they are reasonable for the Customer.
- For custom-made products, production-related excess or short deliveries of up to 10% of the ordered quantity are permitted insofar as customary in the industry and reasonable in the individual case, and provided no expressly agreed exact quantity prevents this. The quantity actually delivered will be invoiced.
- Force majeure and other events beyond revoseal’s control (e.g. strikes, lockouts, official measures, shortages of energy or raw materials, supply-chain disruptions or failure of suppliers to deliver despite proper ordering) extend the delivery period by the duration of the impediment plus a reasonable restart period. If the impediment lasts more than 3 months, either party may withdraw from the affected part of the contract.
- If revoseal is in delay, the Customer may, subject to statutory requirements, claim liquidated damages of 0.5% of the net price of the delayed delivery for each completed week of delay, up to a total of 5%. The Customer may prove greater damage and revoseal may prove lesser or no damage. Liability is otherwise governed by § 8.
- If the Customer fails to accept the goods on time, revoseal may store them at the Customer’s expense and risk and claim reimbursement of additional expenses. In this case, the goods will be invoiced upon notification that they are ready for dispatch.
§ 5 Dispatch, Packaging, Transfer of Risk
- Unless otherwise agreed, revoseal delivers ex works (EXW Pulheim, Incoterms® 2020). revoseal selects the mode of transport and packaging using reasonable discretion unless the Customer specifies otherwise.
- For deliveries agreed on EXW terms, risk passes to the Customer when conforming goods are placed at the Customer’s disposal at the named location in accordance with Incoterms® 2020. Where different delivery terms are agreed, transfer of risk is governed by the agreed term; mandatory statutory provisions remain unaffected.
- If dispatch is delayed for reasons attributable to the Customer, risk passes upon notification that the goods are ready for dispatch.
- revoseal arranges transport insurance only at the Customer’s express request and expense.
- Special packaging such as wooden crates, cases or disposable pallets is charged at cost. revoseal does not take back transport packaging except where required by law. Reusable load carriers remain revoseal’s property and must be returned.
§ 6 Retention of Title
- Delivered goods, including samples, remain revoseal’s property until all claims arising from the ongoing business relationship have been paid in full (reserved goods).
- The Customer may process, install and resell reserved goods in the ordinary course of business. Pledging or transferring them as security is prohibited.
- Processing or transformation shall always be carried out for revoseal as manufacturer. If reserved goods are processed, combined or mixed with other items, revoseal acquires co-ownership in the ratio of the invoice value of the reserved goods to the value of the other items.
- The Customer hereby assigns to revoseal all claims arising from resale or installation of reserved goods up to the invoiced amount (including VAT). revoseal accepts the assignment. The Customer remains authorised to collect such claims as long as it fulfils its payment obligations.
- In the event of third-party access, particularly attachment, the Customer shall draw attention to revoseal’s ownership and inform revoseal without delay.
- In the event of a contractual breach by the Customer, particularly payment default, revoseal may withdraw from the contract and demand return of reserved goods in accordance with statutory provisions.
- If the realisable value of security exceeds revoseal’s claims by more than 10%, revoseal shall, at the Customer’s request, release security of its choice.
§ 7 Product Characteristics, Use, Defect Claims
- The characteristics of the goods are determined exclusively by the order confirmation and the specifications stated therein. revoseal provides a guarantee only if expressly designated as such in writing.
- Information on dimensions, weight, hardness and tolerances is subject to applicable standards and customary industry tolerances. Minor deviations from samples, previous deliveries or ordered quantities are not defects insofar as they do not impair the intended function.
- The Customer is responsible for providing complete and accurate operating conditions (in particular medium, pressure, temperature, flange design, bolts and gasket seating stress) and checking suitability for the specific application, unless revoseal expressly undertakes corresponding design or calculation as a contractual service. Statutory duties and revoseal’s responsibility for its own agreed services remain unaffected.
- The tightness of a flanged joint also depends on factors outside the gasket itself. revoseal is not liable for defects attributable to:
- improper or faulty installation, particularly incorrect tightening torques, tightening sequence or unsuitable tools,
- damaged, contaminated or non-compliant flanges and bolts,
- operating conditions outside the agreed or specified operating limits,
- reuse of gaskets that have already been compressed,
- improper storage or handling, or normal wear and tear.
- Where Section 377 of the German Commercial Code (HGB) applies, the Customer shall inspect goods without undue delay after delivery and report identifiable defects without undue delay. As a general rule, obvious defects must be reported within 5 working days after delivery and defects discovered later within 5 working days after discovery; the statutory requirement to act without undue delay remains decisive. Notification in text form (e.g. email) is sufficient.
- In the event of defects, revoseal shall, at its option, provide subsequent performance by repair or replacement delivery. If subsequent performance fails, the Customer may reduce the price or withdraw from the contract. Damages are governed by § 8.
- Goods subject to complaint may be returned only after consultation with revoseal. revoseal may also carry out repairs at the Customer’s premises. If a defect complaint proves unjustified, the Customer shall bear the resulting inspection and shipping costs.
- revoseal shall reimburse removal and installation costs (Section 439(3) BGB) only to a reasonable extent and only where the Customer installed the goods in accordance with their nature and intended purpose.
- Defect claims become time-barred 12 months after transfer of risk. This does not apply to intent, fraudulent concealment, guarantees, injury to life, body or health, claims under the German Product Liability Act, or cases under Sections 438(1) no. 2, 445b, 478 and 634a(1) no. 2 BGB; statutory limitation periods apply in these cases.
§ 8 Liability
- revoseal is liable without limitation for intent and gross negligence, injury to life, body or health, fraudulently concealed defects, guarantees assumed and under the German Product Liability Act.
- In cases of ordinary negligence, revoseal is liable only for breach of material contractual obligations (cardinal obligations), i.e. obligations whose performance makes proper execution of the contract possible and on whose fulfilment the Customer may regularly rely. Liability is then limited to damage typical for the contract and foreseeable.
- In cases under paragraph 2, liability is limited to damage typically foreseeable at the time of conclusion of the contract. This also applies to production losses, plant downtime, product loss and lost profits insofar as such losses are exceptionally typically foreseeable. A monetary limit of EUR 25,000 per loss event applies only insofar as it adequately covers the damage typical for the contract and foreseeable in the individual case; otherwise the aforementioned limitation applies. Cases under paragraph 1 remain unaffected.
- The above limitations also apply to breaches of duty by revoseal’s corporate bodies, employees and vicarious agents.
- The Customer shall take reasonable measures to prevent and mitigate damage, in particular leak testing before commissioning and regular inspection of critical flange connections.
§ 9 Services
- Application advice, flange calculations according to DIN EN 1591-1, quality assurance of flange connections, installation support and training are provided by revoseal as services unless a specific result is expressly agreed.
- Non-binding information and recommendations provided during sales activities are given to the best of revoseal’s knowledge. They do not establish an independent consulting obligation and do not relieve the Customer of its own duty to check suitability for the intended use.
- Calculations and designs are based on information provided by the Customer (e.g. flange geometry, bolts, operating conditions and material properties). The Customer shall ensure the accuracy and completeness of this information. revoseal is not liable for damage caused exclusively by incorrect or incomplete Customer information, provided revoseal has not breached its own duty to inspect or warn.
- For on-site installation support, the Customer remains responsible for occupational safety, plant clearance, provision of suitable tools and qualified personnel. Installation itself is performed by the Customer unless expressly agreed otherwise.
- Services are charged on a time-and-materials basis at revoseal’s applicable rates, plus travel and accommodation costs, unless a fixed price has been agreed.
- If the Customer cancels an agreed on-site appointment or training less than 3 working days in advance, revoseal may charge liquidated cancellation compensation of 50% of the agreed fee insofar as corresponding damage has occurred. Saved expenses and alternative earnings shall be taken into account. The Customer expressly retains the right to prove that no damage or substantially less damage occurred. revoseal retains the right to prove higher damage; costs already reimbursed shall not be charged twice.
§ 10 Custom-Made Products, Customer Specifications, Intellectual Property Rights
- Custom-made products manufactured to the Customer’s drawings or specifications are excluded from voluntary returns; statutory rights for defects remain unaffected. After production has started, cancellation by mutual agreement is possible only against reimbursement of proven unavoidable costs, including commitments already entered into.
- Where revoseal manufactures according to the Customer’s drawings, samples or other specifications, the Customer warrants that no third-party intellectual property rights are infringed and shall indemnify revoseal against third-party claims.
- revoseal is not responsible for the accuracy of drawings, dimensions and material specifications supplied by the Customer.
- Tools, fixtures and programs produced by revoseal for orders remain revoseal’s property even if the Customer contributes to their cost. revoseal retains them for up to 2 years after the last delivery; thereafter there is no retention obligation.
- revoseal’s trademarks and product names may be used only with prior written consent.
§ 11 Export Control and Compliance
- Performance of the contract is subject to there being no impediments under national or international foreign trade regulations, in particular embargoes and sanctions.
- When passing on goods, the Customer undertakes to comply with applicable export control and sanctions regulations of the EU, Germany and, where applicable, the USA.
- The Customer must not sell, export or re-export goods directly or indirectly to Russia or Belarus insofar as prohibited under Article 12g of Regulation (EU) No 833/2014 or Article 8g of Regulation (EC) No 765/2006. A breach constitutes a material contractual breach and entitles revoseal to withdraw from the contract and claim damages.
- Delays caused by export checks or authorisation procedures extend delivery periods accordingly.
§ 12 Confidentiality and Data Protection
- The parties shall treat as confidential all non-public commercial and technical information received in the course of their business relationship, in particular plant data, calculations, drawings and prices. This obligation continues after the business relationship ends.
- revoseal processes personal data of the Customer and its contact persons for contract performance in accordance with applicable data protection laws. Details are provided in the privacy policy on revoseal.com.
§ 13 Final Provisions
- The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The place of performance for all contractual obligations is revoseal’s registered office unless otherwise agreed.
- Insofar as an agreement on jurisdiction is permissible under Section 38 of the German Code of Civil Procedure (ZPO), Cologne shall be the exclusive place of jurisdiction for disputes arising from the business relationship. revoseal may also sue at the Customer’s general place of jurisdiction.
- Amendments and additions to the contract must be made in text form (e.g. email).
- If any provision of these Terms is or becomes invalid, the validity of the remaining provisions remains unaffected. The statutory provision shall apply in place of the invalid provision.
- In the event of discrepancies between the German version and a foreign-language version of these Terms, the German version shall prevail.
